NOTICE OF PUBLIC HEARING

 

NOTICE IS HEREBY GIVEN that on Friday August 8 2025 at 11:00 a.m. prevailing time the Allegheny County Hospital Development Authority (the "Authority") on behalf of the Authority the County of Allegheny Pennsylvania the County of Butler Pennsylvania the County of Clarion Pennsylvania the County of Erie Pennsylvania the County of Indiana Pennsylvania the County of Mercer Pennsylvania the County of Washington Pennsylvania and the County of Westmoreland Pennsylvania will hold a public hearing pursuant to the provisions of Section 147(f) of the Internal Revenue Code of 1986 as amended (the "Code"). The hearing will be held at the offices of the Authority Koppers Building 436 Seventh Avenue Suite 500 Pittsburgh PA 15219 in connection with an application for the issuance by the Authority of one or more series of its tax-exempt revenue notes (the "Obligations") for the benefit of the Borrower listed below.

 

Owner/Borrower: The proceeds of the Obligations will be loaned to West Penn Allegheny Foundation LLC a Pennsylvania limited liability company and disregarded entity (the “Borrower”) which has as its sole owner West Penn Allegheny Health System a nonprofit corporation and an organization exempt from federal income taxation pursuant to Section 501(c)(3) of the Code. The Borrower will purchase and operate up to four medically equipped life flight helicopters (the “Helicopters”). The borrowers principal address is 300 East North Avenue Pittsburgh Allegheny County PA 15212. All of the property being financed with proceeds of the obligations is or will be owned by the borrower.

 

Maximum Principal Amount of Proposed Issuance: The aggregate principal amount of the obligations is not expected to exceed $55000000.

 

Nature of Project: The proceeds of the obligations will be used to finance the costs of a project (the "Project") consisting of financing all or a portion of the costs of (a) four helicopters including medical equipment to be a part thereof and (b) paying certain related transaction costs.

 

Location of Facilities: The helicopters are or will be primarily located at the following locations:

The hearing will provide a reasonable opportunity for persons to be heard and express their views on the issuance of the obligations. The Authority requests your consideration by notifying it of your intent to present your views at the hearing and further requests your assistance by delivering a written summary of your intended comments to the Authoritys solicitor James H. Webster Clark Hill PLC 301 Grant Street 14th Floor Pittsburgh PA 15219 on or before August 7 2025.
